An experienced and dynamic approach to valuations. You may require a valuation for a certain purpose.
- if you are involved in a transaction, a dispute or restructuring your business, the value of your business and its assets will be a critical commercial consideration
- where litigation is a possibility, a professional valuation is often the key to securing a fair settlement. Expert opinions are an inherent part of our offering
- when issuing shares, a valuation provided by a dedicated tax valuer is often the key to minimising the upfront income tax charge
- for financial reporting purposes, a professional valuation can be essential to ensuring values on your balance sheet for NAV reporting purposes are robust and can withstand scrutiny.
We can support you whether you are a start-up, SME, large corporate, fund, asset manager or a listed company. We can also work with you on your valuation needs including shares, businesses, intangible assets, projects or complex financial instruments.
We recognise that you need well-rounded business advisers with an understanding of your sector(s). Our team is structured so you have access to the right in-house experts, at the right time. And we collaborate with over 700 valuation specialists in 60 countries.
Here are some of the areas we can support you in:
Transactions - bid support and investment appraisals, valuations to support asset-backed lending decisions, pre and post-deal purchase price allocations for financial reporting, and fairness and other independent opinions required by boards, trustees, fiduciaries, regulators and other key stakeholders.
Accounting/Financial reporting - including purchase price allocation reports, impairment testing and reviews of intangible assets, share option schemes and fund administration including Net Asset Value reporting and transfers.
Disputes - providing valuations support for disputes that include breach of contract, intellectual property disputes, negligence, lost opportunity and business disruption, matrimonial disputes or where an expert determination is required. You may also require an expert determination of value under your company’s Articles of Association. As an independent expert, we ensure that we deliver an impartial and transparent process, agreed upfront with all parties.
Recovery and reorganisation - managing the effective financial restructuring of distressed companies. Providing independent valuation analysis and advice to support the decisions necessary to maintain and create value to all stakeholders in the process.
Tax – working closely with our in-house tax experts, we cover all UK and international tax purposes using knowledge gained from agreeing valuations with HMRC’s Shares and Assets Valuation office. Our team includes ex-HMRC valuers, whose time in HMRC included dealing with contentious cases.
Intellectual Property (IP) - whilst the value of a company’s IP may be well known to management; shareholders and investors, other key stakeholders may want an independent, expert view on its fair value. The valuation of IP can be complex and requires an objective and experienced view. Our team of specialists has the technical knowledge to provide you and your stakeholders with guidance and advice required to value your IP.
Other reporting for funds - we provide valuations to a wide variety of listed, private and alternative funds. We offer independent and objective valuations on all types of debt and equity based investments across many sectors and strategies.
As part of the team’s market leading experience valuing infrastructure projects, we run an annual global discount rate survey covering hydro, solar, onshore wind and offshore wind.
FRS 102 - Changes to recognition criteria for intangible assets
Business combination accounting is required where a company acquires control of another business. Recent changes to FRS 102 mean that fewer intangible assets will need to be recognised by UK GAAP-reporting entities, which could affect amortisation and therefore reporting of net profit.
