Having negotiated with Marlowe on behalf of our client on the heads of term we were pivotal in setting the transaction structure, financial modelling, and involved in drafting the SPA to completion.
Our extensive sector expertise in the industry and relationships with Marlowe meant we were able to well position the business. Adding value to the process by understanding the key drivers of value, and managing conversations and negotiations.
Our experience in deal structuring allowed us to work effectively with a range of stakeholders, driving a complex transaction. The transaction included different shareholders across the three businesses with varying expectations which resulted in a range of mechanisms used to structure the deal including rollover, earn-outs and call option.
Navigating the process and keeping momentum during the lockdown and pandemic was particularly challenging but done successfully. Delivering strategic value and a long-term partner for the business all within the targeted timeframe.
Grant Thornton’s experience and expertise were critical in obtaining a highly satisfactory conclusion to this complex transaction. I was particularly impressed with the team’s dedication and expertise added value from start to finish, driving the transaction to a successful conclusion during covid-19, while showing exceptional commitment throughout to achieve a positive outcome for us. I look forward to working with Grant Thornton team again in the future.Simon Moate CEO, Elogbooks
