Our team provided corporate finance advisory services to UltraSoC Technologies Limited (“UltraSoC”), a pioneering technology start-up which embeds cybersecurity, safety, analytics and monitoring technology in the systems-on-chip (SoCs) that power electronic products, to assist in their sale to Siemens Inc (“Siemens”).
Having agreed a deal in principal with Siemens, we were engaged by the shareholders to assist UltraSoC with negotiations in relation to working capital, net debt and the commercial aspects of the sale and purchase agreement (SPA).
The advanced stage of the deal as well as the sensitivity, meant that our team had to work swiftly and seamlessly with all parties to ensure that the complex elements of working capital, net debt and commercial input in the drafting of the SPA were appropriately analysed. Our proactive approach meant that the deal mechanics were quickly understood and agreed between the parties, which ultimately secured a prosperous future for the business.
