PHABRIX is a world leader in broadcast test and measurement technology, developing, manufacturing and distributing equipment globally.
PHABRIX’s market leading equipment attracted interest from a number of potential buyers who approached the company. The shareholders of PHABRIX wished to ensure that there was competitive tension between these buyers whilst also approaching the wider market.
We approached a limited number of very strategic potential buyers, whilst conducting negotiations with those who had approached directly. This ensured that the best strategic price was obtained for the company.
PHABRIX has a relatively small team and management wanted to ensure that the transaction did not distract the team. We provided significant support throughout the process to ensure this.
In line with Japanese culture, the buyers wanted to put in a profits-based bonus structure but our team were able to explain the benefit to all of a profits-based deferred consideration.
Whilst many transactions can be stressful, we ensured this was conducted in a calm and considered fashion in the best interests of both sellers and buyers.
