Group is a leading marketing services company, providing data-driven transactional and direct mail, multi-channel marketing and data analytics services as part of a fully integrated offering. The company recently completed a management buy-out in March 2016 to support the continued growth of the business.
Our relationship with the shareholders of Eclipse stems from our longstanding position as auditors and tax advisers. After holding initial discussions with GI Solutions Group to agree the outline of the deal, the shareholders engaged a team led by Mike Hughes to advise on Heads of Terms and manage the transaction through due diligence, structuring of the completion mechanism and providing input into legal agreements.
Through our extensive knowledge of the business, we were able to focus on delivering the shareholder's value expectations, manage the preparation of a comprehensive data room and provide accounting support through our special projects team to mitigate the impact of the deal process on management.
Our detailed work on presenting the working capital and debt profile of the business allowed us to take a lead role in structuring financial terms and provide additional visibility as to the outcome of the deal.
