The challenge
The bank's head office launched an aggressive drive to remove surplus entities from its complex UK-led group structure using members' voluntary liquidation (MVL).
The solution
We built a comprehensive checklist with the group's legal team, helping unfamiliar teams coordinate each entity through pre-liquidation review and MVL.
The result
We have assisted the client with placing approximately 160 companies into MVL to date in a large number of jurisdictions including UK, Ireland, the Netherlands, the Channel Islands, Luxembourg, Gibraltar and the Cayman Islands.

An insurance group needed to eliminate around 100 entities across the UK, Ireland and the Netherlands through solvent liquidation as part of wider restructuring.
The solution
We reviewed and refined the group's own pre-liquidation review process, giving the liquidator sufficient information while keeping the process efficient and cost-effective.
The result
We have liquidated over 200 UK companies to date, along with four Irish and two Dutch companies, with the project ongoing.

The challenge
An energy and services group wanted an experienced advisor to eliminate dormant and redundant UK subsidiaries by MVL after winding down their affairs.
The solution
After planning with tax, finance, legal and company secretarial teams, we gave the client a bespoke checklist to prepare each company for handover and members' voluntary liquidation (MVL).
The result
We have dissolved six companies via MVL to date, with new engagements now in place with a successor company for further eliminations.

The challenge
An owner-managed business sought support with the orderly wind down of their business following the sale of their commercial property after deciding to cease trading.
The solution
We worked closely with our restructuring tax and CFO solutions team to assist the client with a step plan to wind down the residual trade and close off all compliance areas appropriately to ensure the directors' duties had been discharged.
The result
We placed both entities into members' voluntary liquidation (MVL), with an immediate capital distribution of cash to the shareholders in line with their requirements.

    When considering a simplification exercise, it is important to fully understand the tax and accounting implications of the proposed steps, and how they tie in with the proposed method of elimination prior to commencing any rationalisation.

    We work closely with our colleagues in tax and finacial reporting to support you with our “one stop” solution to your group simplification needs including:

    • Developing a step plan to implement the desired structure – this may involve providing detailed tax and/or accounting analysis
    • Working with our Grant Thornton International Ltd member firms to ensure that any overseas considerations are factored in;
    • Supporting you with communication with HM Revenue & Customs, as required
    • Advising on the accounting implications and journal entries required to document the reorganisation;
    • Liaising with your finance team, legal advisors and any other third party advisors to ensure each step is implemented successfully in line with the plan; and
    • Assisting you with any subsequent striking off application or undertaking a formal liquidation, providing the services of a licensed insolvency practitioner.
