Julian Berry

I've specialised in restructuring since 1991 and joined the firm in 1996. I focus on closure and wind-down support; sale of business; narrative and financial-step plans; striking off; capital reduction; members voluntary liquidations; S110 demergers, and branch deregistration. 

I support clients with group simplification projects to wind down and eliminate non-core, loss-making or dormant entities, through to families with no succession plan for their trading company, looking to extract value and eliminate the company in a tax-efficient manner. I work with organisations as diverse as FTSE 250s, investment funds, and international conglomerates. I have particular experience with charities; the oil, gas, and energy sectors, and companies with reporting structures to council or Government departments.

Starting my career managing trading receiverships, administrations, and insolvent liquidations means that I understand the issues which can arise when a business ceases to trade. This insight is essential for maximising value for stakeholders around trading closures, contingencies, and mitigating factors.

I have over 30 years experience in solvent eliminations, and I'm very conscious that project management teams and directors desire minimal risk and maximum return. Before our clients enter an elimination process, I work with management to plan for potential unwanted 'surprises' which may impact on our service delivery or value being returned to members. I prepare financial and narrative step plans to ensure all stakeholders are aware of the likely amounts to be returned to members and the timing of key milestones. I always make myself available to discuss any issues with clients, as many are in different time zones.

When preparing step plans, I often work closely with colleagues in restructuring tax and CFO Solutions. I also collaborate with colleagues in corporate finance looking to sell trading companies and wind up the holding company and extract value in a tax-efficient manner, getting involved in review of the sale contract to consider and mitigate the effect of warranties, indemnities and guarantees to ensure maximum distributions can be made to members as quickly as possible.s.

When I’m not working, I can often be found weeding the garden (one of life’s great mysteries is how we plant very little but manage to take 20 bags to the dump each week), walking, or honing my cocktail recipes.
