We are delighted to have advised India Hospitality Corporation (IHC) on their acquisition of Adelie Food Group.

This cross-border transaction saw IHC acquire a leading independent food-to-go business to further its development into the UK market. The Adelie Food Group’s principal products are sandwiches, wraps, salads and prepared fruit sold to the food services and retail sectors.

India based IHC acquire and successfully operate businesses or assets in the food, hospitality, leisure, tourism, travel and related industries, including but not limited to hotels, resorts, timeshares, serviced apartments and restaurants.

The transaction provides an exit for the outgoing shareholders including a private equity investor and sees IHC take ownership of a business with a number of blue chip customers. The financial strength of the new group added to the scale of its operations will create competitive advantage and will benefit the business, employees and customers alike.

We delivered comprehensive multi-disciplinary services to IHC including, origination, M&A, due diligence, transaction tax and capital markets advisory that highlights our ability to offer clients a bespoke service offering which is tailored to individual needs.

Testimonial

This acquisition will bolster IHC’s presence internationally. The enlarged group will benefit from cross fertilisation of Adelie’s technical know-how and IHC’s experience of working with some of the leading food service players globally. Grant Thornton introduced the opportunity to us and from origination all the way through to completion, I was impressed with their strong sector insight, commercial acumen and relationship based approach in navigating through the deal which at times presented numerous challenges.
