As a director in the sale and purchase agreement advisory team, I specialise in increasing or protecting value for my clients on deals, as sellers or buyers, both pre and post transaction. Pre-deal, I have advised on well over 100 transactions across all industry sectors and around the globe, on deals from under £10 million to over £1 billion. This work concerns pricing and price adjustments and other financial and accounting aspects of the agreement, working in conjunction with clients, their lawyers and other advisers. This is often a subjective area, where specialist involvement can make a significant difference. Post deal, with my background in forensic accounting, I have been involved in many processes and disputes around price adjustments (completion accounts, earn outs and deferred consideration) either advising parties or independent expert determinations, and in warranty claims.
Every day is different, which is one of the things I love most about my role. The projects I get involved in are typically complex (usually financially, but sometimes also legally, commercially and/or technically). I thrive on getting stuck in, digesting the data, separating the real issues from the noise, establishing the facts and providing clarity.
When not crunching numbers, I’m usually having fun with my wife Caroline and our three very noisy tweenagers. When I can escape from them I like to run, ski, cook, watch movies, drink red wine and, occasionally, sleep.
